Terms of Service

1. Acceptance of Terms

By accessing and using the services of Darrell Tang Consulting ("Company," "we," "us," or "our"), you ("Client," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services.

2. Services

We provide DevOps and Site Reliability Engineering consulting services, including but not limited to:

• Kubernetes migration and optimization
• Infrastructure as Code implementation
• CI/CD pipeline automation
• Cloud architecture and cost optimization
• Site reliability engineering
• DevOps transformation consulting

3. Engagement Terms

Specific terms of engagement, including scope of work, deliverables, timelines, and compensation, will be detailed in separate written agreements or statements of work.

4. Client Responsibilities

Client agrees to:

• Provide accurate and complete information necessary for service delivery
• Grant appropriate access to systems and resources as needed
• Respond promptly to requests for information or feedback
• Comply with all applicable laws and regulations
• Pay all fees according to agreed terms

5. Intellectual Property

Unless otherwise specified in writing:

• Client retains ownership of their pre-existing intellectual property
• We retain ownership of our pre-existing methodologies and tools
• Work product created specifically for Client will be owned by Client upon full payment
• We reserve the right to use general knowledge and experience gained

6. Confidentiality

We agree to maintain the confidentiality of all non-public information received from Client. This obligation survives termination of our relationship.

7. Limitation of Liability

To the maximum extent permitted by law, our total liability for any claims arising from our services shall not exceed the total amount paid by Client for the specific services giving rise to the claim.

8. Disclaimer of Warranties

Our services are provided "as is" without warranty of any kind. We disclaim all warranties, express or implied, including but not limited to warranties of merchantability and fitness for a particular purpose.

9. Indemnification

Client agrees to indemnify and hold us harmless from any claims arising from Client's use of our services or breach of these Terms.

10. Termination

Either party may terminate the relationship with written notice. Termination does not affect obligations that have already accrued.

11. Force Majeure

Neither party shall be liable for delays or failures in performance resulting from acts beyond their reasonable control.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to conflict of law principles.

13. Dispute Resolution

Any disputes arising from these Terms or our services shall be resolved through binding arbitration in California.

14. Modifications

We reserve the right to modify these Terms at any time. Material changes will be communicated with reasonable notice.

15. Severability

If any provision of these Terms is found to be unenforceable, the remainder shall remain in full force and effect.

16. Entire Agreement

These Terms, together with any written agreements for specific services, constitute the entire agreement between the parties.
